The Directors & Officers liability policy (also referred to as management liability) is available to non-profit organizations, private companies, publicly traded firms and educational institutions.
The policy is intended to protect directors and officers against allegations of wrongful conduct, errors and/or omissions committed while carrying out their functions as an executive for the company.
The policy will directly indemnify a director and officer for a covered loss when the company is not legally permitted to do so (Side A Coverage).
In instances where an organization can indemnify its directors and officers, the insurance company would make payments to the company (Side B coverage).
Some policies will also offer “Entity” (Side C Coverage) and/or reimbursement of expenses incurred due to a regulatory investigation or proceedings.
This product is available to non-profit organizations, private companies, public traded firms and educational institutions.

Only 35% of companies invest in cyber-liability insurance, even though studies show that more than 72% of data breaches occur in small-to-medium-sized businesses.
Failure to notify the affected individuals “without unreasonable delay” could cost your agency up to $1.5 million in fines from the federal government.  Add this to the $200,000 average cost to comply with notification laws, the legal liability, and the reputational harm caused by the breach, and you can quickly see how this exposure could devastate your agency.
We have partnered with Arlington/Roe to offer members an exclusive program to help protect their agencies from information security breaches.  The holistic risk management program helps train staff on privacy compliance in addition to handling data breach notification and third party results.
